Terms of Service

These Terms of Service ("Terms") govern your use of Mercurylist, a service operated by Signal Shift Labs ("we," "us," or "our"), accessible at mercurylist.com. By creating an account or using Mercurylist, you agree to these Terms. If you do not agree, do not use the service.


1. The Service

Mercurylist is an event signup and coordination platform that allows organizers ("Organizers") to create events with time slots, collect participant signups, accept payments, and send automatic reminders. Individuals who sign up for events are referred to as "Participants."

2. Accounts

To create events you must register for an account. You agree to:

  • Provide accurate and complete registration information.

  • Keep your password secure and not share it with others.

  • Notify us immediately of any unauthorized use of your account.

  • Be responsible for all activity that occurs under your account.

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to use Mercurylist to:

  • Create events for illegal activities or that violate any applicable laws.

  • Collect payments for goods or services you do not intend to deliver.

  • Send spam or unsolicited communications to participants.

  • Impersonate another person or organization.

  • Upload malicious code, viruses, or anything that could harm the service or other users.

  • Scrape, reverse-engineer, or attempt to access our systems beyond normal use.

  • Use the platform in any way that could damage our reputation or that of our users.

4. Payments and Fees

Mercurylist offers both free and paid tiers:

  • Free plan: Basic sign-up sheets with no monthly fee.

  • Pro plan: $9/month, billed monthly, with additional features.

For events where Organizers collect payments from Participants, the following apply:

  • Payment processing is handled by Stripe. Stripe's standard fee of 3.9% + $0.30 per transaction applies.

  • Mercurylist charges a platform fee of 5% on each transaction processed through Stripe Connect.

  • Organizers are responsible for complying with all applicable tax laws related to payments they collect.

  • Refunds to participants must be issued by the Organizer through their Stripe dashboard.

  • Mercurylist is not responsible for disputes between Organizers and Participants regarding payments.

Pro plan subscriptions renew automatically. You may cancel at any time; your plan remains active through the end of the current billing period.

5. Organizer Responsibilities

As an Organizer, you are solely responsible for:

  • The accuracy of event information, dates, times, and capacity limits you publish.

  • Communicating changes or cancellations to your participants.

  • Collecting and remitting any applicable taxes on payments you receive.

  • Complying with applicable laws related to your events, including any permits or licenses required.

  • Honoring any refund commitments you make to participants.

  • Completing Stripe Connect onboarding accurately and truthfully before collecting payments.

6. Participant Sign-ups

Participants use Mercurylist to sign up for events created by Organizers. By signing up for an event, Participants agree to share their name and email address with the Organizer. Mercurylist is not a party to the relationship between Organizers and Participants and is not responsible for the conduct of either.

7. Email Communications

By creating an account or signing up for an event, you consent to receive transactional emails including account verification, signup confirmations, and event reminders. These communications are necessary to operate the service.

8. Intellectual Property

Mercurylist and its underlying technology, design, and content (excluding user-generated content) are owned by Signal Shift Labs. You may not copy, modify, distribute, or create derivative works from our platform without written permission.

You retain ownership of content you create on Mercurylist (event descriptions, titles, etc.). By posting content, you grant Signal Shift Labs a limited license to display and deliver that content as part of operating the service.

9. Disclaimers

Mercurylist is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of viruses. We are not responsible for the content of events created by Organizers or for the conduct of any users.

10. Limitation of Liability

To the fullest extent permitted by law, Signal Shift Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Mercurylist, including but not limited to loss of revenue, data, or goodwill. Our total liability for any claim arising from these Terms or use of the service shall not exceed the greater of $100 or the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Signal Shift Labs and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of Mercurylist, your violation of these Terms, or your violation of any rights of another person or entity.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may close your account at any time by contacting us. Upon termination, your right to use the service ceases immediately.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the site at least 14 days before the changes take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of Mercurylist shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.
